USE OF PLATFORM

1. Welcome to COVERA. This document is an electronic record in terms of Information Technology Act, 2000, the Rules thereunder and the provisions pertaining to electronic records in various statutes as amended by the Information Technology Act, 2000. The present document is an electronic record generated by a computer system. Thus, it does not require any physical or digital signatures.
   
   
2. This document has been published in accordance with the provisions of Rule 3(1) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 which requires publication of the rules and regulations, privacy policy and user agreement for access or usage of domain name https://lovecovera.com (hereinafter referred to as “Website”), the related mobile site and mobile application (hereinafter referred to as “Platform”).
   
   
3. The Platform is owned by AGAMI APPARELS PRIVATE LIMITED, a company incorporated under the Companies Act, 2013 having its registered office at G-4, Capstone, Opp. Chirag Motors, Sheth Mangaldas Road, Ellis Bridge, Ahmedabad, Gujarat - 380006, (hereinafter referred to as “Platform Owner”, “we”, “us”, or “our”).
   
   
4. For the purpose of these Terms of Use, wherever the context so requires, “you”, “your” or “user” shall mean the natural or legal person who accesses, browses, agrees to become a buyer on the Platform by providing necessary data while registering on the Platform as a registered user, uses the Platform in any manner or uses any current or future services or functionality or offer made available on the Platform.  
    
5. Your use of the Platform and services and tools are governed by the following terms and conditions (hereinafter referred to as “Terms of Use”) as applicable to the Platform including the applicable policies which are incorporated herein by way of reference. By mere use of the Platform, you shall be contracting with the Platform owner. The present Terms of Use including the policies constitute your binding obligations with the Platform and the Platform owner.
   
   
6. These Terms of Use relate to your use of our website, goods (as applicable) or services (as applicable) (collectively referred to as “Services”).  Any terms and conditions proposed by you which are in addition to or which conflict with these Terms of Use are hereby rejected by the Platform Owner and shall be of no force or effect. You will be subject to the rules, guidelines, policies, terms and conditions applicable to such service and they shall be deemed to be incorporated into this Terms of Use and shall be considered as part and parcel of the present Terms of Use. We reserve the right, at our sole discretion to change, modify, add or remove portions of these Terms of Use, at any time without any prior notice to you. You shall ensure reviewing these Terms of Use periodically for updates/ changes. Your continued use of the Platform following the posting of changes will mean that you accept and agree to the revisions. As long as you comply with these Terms of Use, we grant you a personal, non-exclusive, non-transferable, limited privilege to enter and use the Platform. By impliedly or expressly accepting these Terms of Use, you also accept and agree to be bound by the policies of the Platform, including but not limited to the Privacy Policy and the Shipping, Return, Exchange, Refund and Cancellation Policy as amended from time to time. 
   
   
7. ACCESSING, BROWSING OR OTHERWISE USING THE PLATFORM INDICATES YOUR AGREEMENT TO ALL THE TERMS AND CONDITIONS UNDER THESE TERMS OF USE, SO PLEASE READ THE TERMS OF USE CAREFULLY BEFORE PROCEEDING. If you do not agree to any of the terms enumerated in the Terms of Use or the Policies, please do not use the Platform. You are responsible to ensure that your access to this Platform and materials available on or through it are legal in each jurisdiction, in or through which you access or view the platform or such materials.

ELIGIBILITY AND AUTHORITY

1. Users must be at least 18 years old and legally capable of entering into a binding contract under the Indian Contract Act, 1872. If a user is under 18 year of age, they may only access the services of the Platform through a legal guardian, as per applicable law. If you are using the Platform on behalf of a corporation, company, institution, association, or any other entity, you must be duly authorized by that entity to access and use the Platform. The Platform owner reserves the right, at its sole discretion, to deny or terminate access to any user, at any time, without providing a reason.

COMPLIANCE REQUIREMENT

1. Users are required to comply with all applicable laws while using the Platform, including, but not limited to, the Foreign Exchange Management Act, 1999, its related notifications, the Exchange Control Manual issued by the Reserve Bank of India, the Customs Act, 1962, the Information Technology Act, 2000, the Prevention of Money Laundering Act, 2002, the Foreign Contribution Regulation Act, 1976, the Income Tax Act, 1961, and the Government of India's Export-Import Policy. This also includes any amendments, rules, or notifications issued under these laws that may be relevant to the services offered on the Platform.

PROHIBITED USE AND CONSEQUENCES

1. You acknowledge that unauthorized use of the Platform or its services may result in action against you, as per these Terms of Use or applicable laws. You agree not to use the Platform or its services for any unlawful or illegal activities, or for any purpose that is prohibited by the present Terms of Use, Indian laws, or local laws that apply to you.
   
   
2. It is also made clear that the Services and Products made available on the Platform, including any samples provided by the Platform are for your personal and/ or professional use only. These Services, Products and samples received by you shall not be sold or resold for any/ commercial reasons.

USER ACCOUNT

1. To use the Platform, you must register and set up an account (hereinafter referred to as "Account") by providing an email address and password, or by signing in through a social media account recognised/ approved by us, for the purpose of signing in to the Platform. The Platform owner may, at its discretion, request verification of your account details, so you are required to provide accurate information such as a valid email address or mobile number. Once your Account is created, the Platform will send your account details to the email address provided.
   
   
2. You are allowed to create only one Account, and transferring or sharing your Account with others is strictly prohibited. The specific information required from you, as well as how we use, protect, and keep your information confidential, is specifically provided for in our Privacy Policy. Please review the Privacy Policy carefully before sharing your information or creating an Account.
3. If you are accessing or using the Platform on behalf of someone else, you represent that you have the authority to bind that person to all terms prescribed under the present Terms of Use. If the person you represent refuses to be bound by these Terms of Use, you agree to accept full responsibility for any damage or liability caused by improper or wrongful use of the Platform.
   
   
4. If you suspect that the security of your Account has been compromised, you are required to immediately notify us on the contact information provided below. In case of a confirmed or suspected security breach, we may ask you to change your password or temporarily suspend or block your Account without any liability on the Platform’s or the Platform owner’s part.
   
   
5. We reserve the right to refuse service or terminate your Account without prior notice if these Terms of Use are violated or if we determine, at our sole discretion, that it is in the Platform's best interest to do so. You are solely responsible for the content you upload, post, email, or otherwise transmit via the Platform.

DISCLAIMER OF WARRANTIES, INACCURACIES OR ERRORS

1. While we strive to ensure that all information and recommendations related to Products, Services, and other offerings (hereinafter referred to as "Information") on the Platform are accurate at the time of inclusion, we do not guarantee its accuracy. We make no promises or warranties regarding the correctness of the Information provided.
   
   
2. You agree that the Information provided on the Platform is for your use on the condition that you will assess its suitability for your needs before making any decisions based on it. None of the Information constitutes an invitation to invest in our company or affiliates. Any use of the Platform or reliance on the Information is at your own risk. Neither we, nor our affiliates, officers, employees, or agents will be liable for any loss, damage, or expense arising from your use of or reliance on the Information provided on the Platform or any third-party websites linked to it. We are not responsible for the content of third-party sites, and accessing them is entirely at your own risk.
   
   
3. To help you choose Products, we provide visual representations on the Platform, such as graphics, photographs, videos, and illustrations. While we make reasonable efforts to ensure accuracy, we do not guarantee that these representations will match the actual Product you receive. Variations may occur for several reasons.
   
   
4. Nothing on the Platform should be construed as a recommendation to use any Product, process, equipment, or formulation that might conflict with any patents. We do not guarantee that its use will not infringe on any patent or other rights.
   
   
5. We do not make any guarantees or warranties regarding:

• The quality, accuracy, reliability, performance, or safety of the Products, Services, or information on the Platform, including Product descriptions or pricing,
• The availability of Services at all times,
• The uninterrupted operation of the Platform, or that any issues, defects, or interruptions will be rectified, or that the Platform and its servers are free from viruses or harmful components.

USER CONDUCT AND RULES ON THE PLATFORM

1. You agree not to, either individually or in collaboration with others, host, display, upload, modify, publish, transmit, update, or share any content that:
1. Belongs to someone else and you do not have the right to use;
   
   
2. Is harmful, harassing, defamatory, obscene, pornographic, abusive, or unlawful in any way, including content that promotes hatred, racism, or money laundering, or is otherwise objectionable;
   
   
3. Is misleading or false;
   
   
4. Involves spam, junk mail, chain letters, or unsolicited mass mailing;
   
   
5. Encourages illegal activities or is abusive, threatening, defamatory, or libelous;
   
   
6. Violates third-party rights, including intellectual property, privacy, or publicity rights;
   
   
7. Contains restricted or hidden access pages;
   
   
8. Provides instructions for illegal activities, such as making illegal weapons or violating privacy, etc.;
   
   
9. Contains images or videos of individuals without their consent;
   
   
10. Attempts to gain unauthorized access or exceeds authorized access to the Platform;
    
    
11. Interferes with another user's enjoyment of the Platform;
    
    
12. Infringes on patents, trademarks, copyrights, trade secrets, or other proprietary rights;
    
    
13. Violates any applicable law;
    
    
14. Threatens national security, public order, or international relations, or incites an offense;
    
    
15. Is false, inaccurate, or misleading;
    
    
16. Causes liability for the Platform or leads to the loss of services from our Internet service providers (ISPs) or suppliers
    
    
2. A user may be identified as engaging in fraudulent activities if any of the following occur:
1. Failure to respond to payment verification emails;
   
   
2. Inability to provide required documents for payment verification;
   
   
3. Misuse of another user’s phone or email;
   
   
4. Providing invalid contact information;
   
   
5. Abusing voucher codes;
   
   
6. Using vouchers not associated with the registered email;
   
   
7. Returning incorrect products;
   
   
8. Refusing to pay for an order;
   
   
9. Engaging in “snatch and run” tactics;
   
   
10. Conducting activities with the intent to harm the Platform’s business or revenue;
    
    
11. Excessive returns;
    
    
12. Repeated requests for monetary compensation for fake or used orders.
    
    
3. You agree not to use the Platform for any unlawful or fraudulent purposes that could cause annoyance, inconvenience, or disrupt the Platform’s operations or violate its policies.
   
   
4. You shall not use a false email address, impersonate any person or entity, or mislead the Platform or the Platform owner by providing multiple addresses, phone numbers, or engaging in transactions with fraudulent intent.
   
   
5. You are prohibited from using "deep-links," "page-scraping," "robots," "spiders," or any other automated or manual processes to access, copy, or monitor any part of the Platform. Any attempts to bypass the Platform’s structure or obtain unauthorized materials or information will be blocked.
   
   
6. You shall not attempt to gain unauthorized access to any part of the Platform, its connected systems, networks, or servers through hacking, password mining, or any other illicit means.
   
   
7. You shall not falsely represent yourself as someone else or impersonate any other individual or entity on the Platform. Misleading others by pretending to be another person or organization is strictly prohibited.

USER CONTENT

1. Any content you upload, post, transmit, or make available on the Platform—whether photos, images, chats, text, software, data, music, sounds, graphics, videos, or other materials (hereinafter referred to as "User Content")—is entirely your responsibility. We are not responsible for reviewing, evaluating, or endorsing your User Content, nor do we assume any liability for it. We make no guarantees regarding the accuracy, integrity, or quality of the User Content posted by you or others.
   
   
2. You understand that by using the Platform, you may encounter content that is offensive or objectionable to you. Under no circumstances shall the Platform owner be liable for any User Content, including any errors, omissions, or losses resulting from its use. You hereby waive any claims against the Platform owner for any alleged infringements of your proprietary rights, privacy, publicity, or moral rights in connection with User Content.
   
   
3. You acknowledge that the Platform owner reserves the right (but is not obligated) to refuse, modify, or remove any User Content at its sole discretion. This includes the right to alter or delete content that violates these Terms or is deemed objectionable. We also reserve the right to refuse service or terminate accounts without prior notice for users who breach these Terms of Use or infringe upon the rights of others.
   
   
4. If you wish to delete any User Content you have posted on the Platform, please contact us at the email address provided below. To help us process your request, please include the following details: your first and last name, username or screen name (if applicable), the email address associated with your account, your reason for the deletion request, and the date(s) of the content you wish to delete (if available). Failure to provide this information may delay processing. Please allow up to 30 business days for us to process your deletion request.

LINKS AND THIRD-PARTY SITES

1. Any references on the Platform to names, trademarks, products, or services of third parties, as well as links to third-party websites or information, are provided solely for your convenience. These references or links do not imply any endorsement, sponsorship, or recommendation by the Platform or the Platform owner. Furthermore, no relationship or association between the Platform/Platform owner and these third parties is implied or should be inferred from such references.
   
   
2. The Platform/Platform owner is not responsible for the content of any third-party websites and makes no representations regarding the accuracy or reliability of any material found on such sites. If you choose to access third-party websites via links on the Platform, you do so at your own risk. The Platform/Platform owner does not review or evaluate the offerings of these external sites and disclaims any responsibility for their actions, content, products, or services, including their privacy policies and terms of use. We recommend that you carefully review the terms and privacy policies of any third-party sites you visit through the Platform.

SHIPPING, RETURN, EXCHANGE, REFUND AND CANCELLATION POLICY

INTELLECTUAL PROPERTY RIGHTS

1. The names "COVERA" and "LOVECOVERA," along with their logos, design marks, and related product or service names, are trademarks or service marks (collectively referred to as "Marks") owned by the Platform owner. All other marks appearing on the Platform are the property of their respective owners. No license or right to use any of these Marks is granted by your access to the Platform. Use of any Marks, whether registered or unregistered, without proper authorization is strictly prohibited, and the Platform owner assumes no liability for any unlawful or unauthorized use of such Marks.
   
   
2. The Platform owner, along with its suppliers and licensors, reserves all intellectual property rights to the text, software, products, processes, technologies, content, and materials appearing on the Platform. The arrangement and compilation of the content on the Platform are also the exclusive property of the Platform owner and are protected by Indian Copyright Laws and international treaties. Materials on this Platform, including but not limited to text and programs, may not be copied, reproduced, republished, posted, transmitted, distributed, or modified in any form, except for personal, non-commercial use. No rights or ownership in any such materials will transfer to you through any such actions.
   
   
3. All materials on the Platform—including but not limited to images, text, designs, icons, photographs, music, video clips, and written works (collectively referred to as "Contents")—are intended solely for personal, non-commercial use. These Contents and any associated software should be used only for shopping and browsing purposes. Any other use, such as reproducing, modifying, distributing, transmitting, or publicly displaying the Contents, is strictly prohibited. Unless explicitly stated otherwise, all Contents on this Platform are the intellectual property of the Platform owner or its licensors and are protected under Indian Copyright Laws and international agreements.

INDEMNITY

1. You agree to defend, indemnify and hold harmless the Platform owner, its employees, directors, officers, agents and their successors and assigns, its holding, subsidiaries, affiliates, partners, or licensors from and against any and all claims, liabilities, damages, losses, costs and expenses, including attorney's fees, caused by or arising out of claims based upon your actions or inactions, which may result in any loss or liability to the Platform owner or any third party including but not limited to breach of any warranties, representations or undertakings or in relation to the non-fulfilment of any of your obligations under the Terms of Use, or arising out of the your violation of any applicable laws, regulations including but not limited to Intellectual Property Rights, payment of statutory dues and taxes, claim of libel, defamation, violation of rights of privacy or publicity, loss of service by other subscribers and infringement of intellectual property or other rights. This clause shall survive the expiry or termination of the Terms of Use.

TERMINATION

1. The Platform owner reserves the right to suspend or terminate your access to the Platform or its Services if it determines, in its sole and absolute discretion, that you have violated, breached, abused, or unethically manipulated or exploited any provision of these Terms of Use, or engaged in any unethical conduct. Notwithstanding any such suspension or termination, these Terms of Use will remain in effect indefinitely unless the Platform owner terminates them.
   
   
2. Once terminated, the Platform owner reserves the right to delete any content or materials associated with your use of the Services. The Platform owner shall bear no liability to you or any third party for such deletion. However, your transaction details may be retained by the Platform owner for tax or regulatory compliance purposes.
   
   
3. If you provide a false email address, engage in unlawful or fraudulent activities, cause annoyance or inconvenience, abuse the policies and rules of the Platform, or attempt to mislead the Platform owner by sharing multiple addresses, phone numbers, or transacting with malicious intent, the Platform owner reserves the right to refuse access, terminate your account, and any linked accounts, without prior notice.

FORCE MAJEURE

1. Notwithstanding anything contained in these Terms of Use, we shall not be liable for any delay or failure to perform an obligation under these Terms, which is beyond our reasonable control, if such performance is prevented or delayed by a force majeure event.

GOVERNING LAW AND JURISDICTION

1. These Terms of Use and all related Policies shall be governed by and construed in accordance with the applicable laws of India. For any proceedings arising from these Terms of Use, the courts located in Ahmedabad shall have exclusive jurisdiction.
   
   
2. Any dispute or difference arising out of or in connection with the interpretation or enforcement of these Terms of Use or the related Policies, between the parties, shall be referred to arbitration by an independent arbitrator mutually appointed by both parties. The arbitrator's decision shall be final and binding. The arbitration proceedings shall be conducted in accordance with the Arbitration and Conciliation Act, 1996, as amended from time to time. The seat and venue of arbitration shall be Ahmedabad.
   
   
3. Notwithstanding anything in these Terms of Use, the Platform owner reserves the right to seek and obtain injunctive, provisional, or interim relief from any court of competent jurisdiction to protect its business interests, trademarks, other intellectual property rights, confidential information, or to maintain the status quo pending arbitration.
   
   
4. For disputes relating to orders outside India, the International Arbitration Rules of the Indian Arbitration and Conciliation Act, 1996 shall apply. The seat and venue for such international arbitration shall also be Ahmedabad.

ENTIRE AGREEMENT

1. If any provision of these Terms of Use is found to be invalid or unenforceable under applicable law, such provision shall be replaced by a valid, enforceable provision that most closely reflects the original intent, and the remainder of these Terms of Use shall continue in full effect. Unless explicitly stated otherwise herein, these Terms of Use constitute the entire agreement between you and the Platform owner regarding your use of the Platform and the services, superseding all prior or contemporaneous communications and proposals, whether electronic, oral, or written.
   
   
2. The Platform owner's failure to enforce any provision of these Terms of Use, or to act in response to a breach by you or others, shall not constitute a waiver of its right to enforce any terms or conditions, including acting upon similar or subsequent breaches in the future.

GENERAL

1. You acknowledge and agree that these Terms of Use constitute the complete and exclusive agreement between you and us regarding your use of the Platform. They supersede and govern all prior proposals, agreements, or communications related to the Platform.
   
   
2. We reserve the right to modify these Terms of Use at any time by posting the revised terms on the Platform. Any changes will be effective immediately upon posting. Your continued use of the Platform after such changes indicates your acceptance of the new Terms of Use. We may, with or without prior notice, terminate any rights granted under these Terms of Use, and you must comply with any such termination or notice by ceasing all use of the Platform as directed.
   
   
3. Nothing in these Terms of Use creates an agency, partnership, affiliation, joint venture, or any other form of joint enterprise between us. Our failure to enforce any provision does not affect our right to enforce it at any later time, nor does our waiver of a breach imply a waiver of the provision itself. If any provision of these Terms of Use is found to be unenforceable or invalid under applicable law or by an arbitral award or court decision, such unenforceability or invalidity will not affect the enforceability or validity of the remaining provisions. The unenforceable provision will be modified by the adjudicating entity to reflect as closely as possible the original intent of the parties. The headings in these Terms of Use are for convenience only and should not be used in interpreting the Terms.
